ArmorIQ – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ArmorIQ website, platform, APIs, SDKs, agents, software, and related services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility & Authority

  • You may use the Services only if you are at least 18 years old, capable of forming a binding contract, and in compliance with all applicable laws.
  • If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
  • Keep your registration information accurate and notify license@armoriq.io immediately of any unauthorized access or security concerns.

3. License & Permitted Use

  • Subject to compliance with these Terms, ArmorIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.
  • You may not copy, modify, distribute, host, sublicense, resell, or otherwise exploit the Services except as expressly permitted. All rights not granted remain with ArmorIQ.

4. Prohibited Use

  • Use the Services only for lawful purposes. Do not use them for harmful, fraudulent, or abusive activities.
  • Do not attempt to bypass security, reverse engineer, upload malware, use to build a competing product, or interfere with other users.

5. Data & Privacy

  • Your use of the Services is governed by our Privacy Policy.
  • By using the Services, you consent to processing of logs, interactions, audit trails, AI inputs/outputs, operational metadata, and system analytics.

6. Customer Data

  • You retain ownership of the data you input (“Customer Data”).
  • You grant ArmorIQ a limited license to process Customer Data solely for providing, securing, improving, and supporting the Services.
  • You represent you have lawful rights to the data and that it doesn’t violate laws or third-party rights.

7. AI Outputs & Disclaimers

  • AI outputs may be inaccurate or incomplete and are provided for informational purposes.
  • You are solely responsible for reviewing and validating outputs. ArmorIQ is not liable for decisions made using them.

8. Service Availability & Changes

  • ArmorIQ aims for reliable Services but does not guarantee uninterrupted access.
  • Maintenance, updates, or external factors may cause downtime. We may modify or discontinue features at any time.

9. Fees, Billing & Subscriptions

  • Paid plans require timely payment of fees. Payments are non-refundable unless required by law.
  • We may suspend or terminate access for overdue payments and may update pricing with notice.

10. Third-Party Services & Integrations

  • Integrations with third-party tools are governed by their terms. ArmorIQ is not responsible for their availability, performance, or data handling.

11. Intellectual Property

  • ArmorIQ and its licensors own all intellectual property in the Services. No rights or ownership transfer to you.
  • You may not use ArmorIQ trademarks without written permission.

12. Security

  • We implement security practices such as encryption, access controls, monitoring, and tamper-resistant audit logs.
  • You agree to prevent unauthorized access to your account and promptly report incidents to license@armoriq.io.

13. Confidentiality

  • Both parties will protect each other’s confidential information using reasonable safeguards.
  • Confidential information may only be used as necessary to fulfill obligations under these Terms.

14. Compliance & Export Controls

  • You represent you are not barred from receiving services under applicable laws and agree not to use the Services in violation of export controls or sanctions.
  • You may not use the platform in jurisdictions where such technologies are prohibited.

15. Termination

  • ArmorIQ may suspend or terminate access if you violate these Terms, fail to pay fees, or create risk to the platform.
  • You may stop using the Services at any time. Upon termination, your license ends. Certain obligations (IP, liability limits, confidentiality) survive.

16. Disclaimer of Warranties

  • The Services are provided “as is” and “as available” without warranties, express or implied.
  • Use the Services at your own risk.

17. Limitation of Liability

  • ArmorIQ is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
  • ArmorIQ’s total liability is limited to the amount you paid in the 12 months preceding the claim.

18. Indemnification

  • You agree to indemnify and hold ArmorIQ harmless from claims arising from your use of the Services, breach of these Terms, or violation of laws or third-party rights.

19. Governing Law

  • These Terms are governed by the laws of the jurisdiction in which ArmorIQ is headquartered.
  • Disputes will be resolved exclusively in courts located in that jurisdiction.

20. Changes to Terms

  • We may update these Terms periodically. Material updates will be communicated via email or in-product notices.
  • Continued use after changes constitutes acceptance.
